Terms of Service Last updated: April 30, 2026 1. About Pay Not To Do Pay Not To Do is a daily commitment and accountability app that helps you stick to habits by attaching a personal financial stake to each commitment. You set a daily goal, declare an amount you are "willing to pay" if you fail, and the app tracks whether you complete it. All commitments operate on an honor system — no real money is moved by the app. Pay Not To Do also includes a snooze system that lets you defer a commitment for a limited time, and a streak tracker that records your consistency over time. Pay Not To Do is built by Loud Unicorn LLC. 2. Who Can Use Pay Not To Do Pay Not To Do is intended for users aged 13 and older. By using the app, you confirm that you are at least 13 years old. If you are under 18, you represent that you have obtained parental or guardian consent to use the app and agree to these Terms. 3. Honor System — No Real Money Movement IMPORTANT: Pay Not To Do does not process, collect, hold, transfer, or move any real money. The "amount" you declare as your stake is for personal motivational purposes only. The app does not charge you, debit you, or otherwise access your finances if you fail a commitment. Compliance with your stated commitment and any financial consequences you choose to impose on yourself are entirely your own responsibility. By using Pay Not To Do, you acknowledge and agree that: - The app is an honor-system tool only - No payment is collected, processed, or transferred by the app or by Loud Unicorn LLC - Loud Unicorn LLC has no obligation to enforce, collect, or verify any stated commitment amount - Any financial consequences you choose to apply to yourself for missed commitments are your sole responsibility and are outside the scope of this app 4. Permitted Uses - Create daily commitments and set personal accountability stakes - Use the snooze system to defer a commitment within the permitted snooze window - Track your commitment streaks and completion history - Subscribe to Pay Not To Do Pro for access to additional features 5. Prohibited Uses - Reverse engineering, decompiling, or tampering with the app - Manipulating device time, local storage, or system settings to falsify completion records or reset streaks - Using the app in ways that violate Apple's App Store Guidelines - Using the app for any unlawful purpose - Representing the app's honor-system stakes as enforceable financial contracts 6. Snooze System Pay Not To Do includes a snooze feature that allows you to defer a commitment for a limited time within a given day. The snooze system is subject to change and may impose limits on how many times a commitment can be snoozed per day or per streak. Using the snooze feature to indefinitely defer commitments is contrary to the app's purpose but is not technically prevented. Snooze availability and limits may change in future versions. 7. Streak Tracking The app tracks your daily commitment streaks locally on your device. Streaks reflect the number of consecutive days you marked a commitment as complete before the daily deadline. Loud Unicorn LLC does not verify or certify the accuracy of streak data. Streaks are for personal motivation only and have no monetary or legal value. 8. Subscriptions Pay Not To Do may offer a Pro subscription for additional features. Subscriptions are processed by Apple's App Store (StoreKit) and subject to Apple's terms. Auto-Renewal Disclosure: If you subscribe to Pay Not To Do Pro, your subscription will automatically renew at the end of each billing period unless you cancel at least 24 hours before the renewal date. Your Apple ID will be charged for renewal within 24 hours prior to the end of the current period. You can manage and cancel subscriptions in your Apple ID account settings at any time. Canceling stops future renewals but does not refund the current period. Free Trials: If a free trial is offered, unused time in a free trial is forfeited when you purchase a subscription. Only one free trial per Apple ID is permitted. Refunds: All subscription purchases are processed by Apple. We do not process refunds. To request a refund, contact Apple Support directly. 9. Apple's Standard EULA In addition to these Terms, your use of Pay Not To Do is governed by Apple's Licensed Application End User License Agreement (EULA), available at: https://www.apple.com/legal/internet-services/itunes/dev/stdeula/ If there is a conflict between these Terms and Apple's EULA, Apple's EULA prevails. 10. No Guarantee of Habit Change Pay Not To Do is a personal productivity and habit-formation tool. We do not guarantee that using the app will result in any behavioral change, habit formation, improved discipline, or any specific outcome. The app is NOT a medical device and is NOT intended to diagnose, treat, cure, or prevent any medical or psychological condition, including behavioral addiction, compulsive behavior, or anxiety. The app is not a substitute for professional therapy, counseling, or medical advice. 11. User Responsibility You are solely responsible for: - The commitments you create and the accuracy of your self-reported completion status - Any personal financial consequences you choose to impose on yourself for missed commitments - Using the app in a manner that supports your well-being 12. Intellectual Property Pay Not To Do, including its design, code, copy, graphics, and user interface, is owned by Loud Unicorn LLC and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the app for personal, non-commercial purposes. You may not copy, modify, distribute, reverse engineer, or create derivative works from Pay Not To Do. 13. Data Stored Locally All commitment data, snooze history, and streak records are stored locally on your device. Loud Unicorn LLC does not have access to your personal commitment data. See the Privacy Policy for full details. 14. Disclaimer of Warranties Pay Not To Do is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that: - The app will function without interruption or errors - Streak tracking will be accurate in all edge cases (e.g., timezone changes, device clock changes) - The app will help you achieve any specific behavioral or habit outcome - The snooze system will be available or function identically in future versions 15. Limitation of Liability To the maximum extent permitted by applicable law, Loud Unicorn LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or related to your use of Pay Not To Do, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages. Our total aggregate liability for any claim arising out of or relating to these Terms or your use of Pay Not To Do shall not exceed the amount you paid to us in the twelve (12) months preceding the claim. If you have not paid us anything, our liability is limited to $10 USD. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. 16. Indemnification You agree to indemnify, defend, and hold harmless Loud Unicorn LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: - Your use of Pay Not To Do - Your violation of these Terms - Your violation of any third-party rights, including Apple's terms - Your violation of any applicable law or regulation 17. Governing Law and Jurisdiction These Terms are governed by and construed in accordance with the laws of the State of Arizona, USA, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or your use of Pay Not To Do shall be resolved exclusively in the state or federal courts located in Maricopa County, Arizona, USA. You consent to the personal jurisdiction of these courts and waive any objection to venue. 18. Arbitration Agreement and Class Action Waiver PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT. Agreement to Arbitrate: You and Loud Unicorn LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of Pay Not To Do (except for disputes related to intellectual property rights or injunctive relief) will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. Arbitration Process: Arbitration will be conducted in Maricopa County, Arizona, or remotely via videoconference or telephone if you prefer. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. Class Action Waiver: You and Loud Unicorn LLC agree that any arbitration or court proceeding will be conducted on an individual basis only, and not as a class action, consolidated action, or representative action. You waive your right to participate in a class action lawsuit or class-wide arbitration. Opt-Out: You may opt out of this arbitration agreement by sending written notice to support@loudunicorn.com within 30 days of first using Pay Not To Do. Your notice must include your name, the email associated with your Apple ID (if applicable), and a clear statement that you wish to opt out of the arbitration agreement. Small Claims Court: Notwithstanding the above, you may bring an individual action in small claims court if your claim qualifies. 19. GDPR — Additional Terms for EU/EEA Users If you are located in the European Union (EU) or European Economic Area (EEA), the following additional terms apply under the General Data Protection Regulation (GDPR): Data Controller: Loud Unicorn LLC is the data controller for any personal data processed through Pay Not To Do. Legal Basis: We process personal data under the legal bases of contractual necessity (Art. 6(1)(b)) and consent (Art. 6(1)(a)) as described in our Privacy Policy. Your Rights: You have the right to access, rectify, erase, restrict processing, port, and object to processing of your personal data. See the Privacy Policy for details on how to exercise these rights. Supervisory Authority: You have the right to lodge a complaint with your local data protection authority if you believe your rights have been violated. Data Transfers: All commitment and streak data is stored locally on your device. StoreKit subscription processing is handled by Apple under their GDPR commitments and Standard Contractual Clauses. Withdrawing Consent: You may withdraw notification permission consent at any time in iOS Settings > Notifications. Contact: support@loudunicorn.com 20. CCPA/CPRA — Additional Terms for California Residents If you are a California resident, the following additional terms apply under the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA): Categories of Personal Information: We collect commitment history and streak data stored locally on your device. We do not collect your name, email, phone number, or location. No Sale or Sharing: We do not sell or share your personal information. Your Rights: You have the right to know, delete, correct, and opt-out of sale/sharing (though we do not sell or share). See the Privacy Policy for how to exercise these rights. Non-Discrimination: We will not discriminate against you for exercising your CCPA/CPRA rights. Contact: support@loudunicorn.com 21. Termination We reserve the right to suspend or terminate your access to Pay Not To Do at any time, with or without cause, if we believe you have violated these Terms. You may terminate your use of Pay Not To Do at any time by uninstalling the app. Uninstalling does not entitle you to a refund of any active subscription period. 22. Changes to These Terms We may update these Terms from time to time. If we make material changes, we will notify you via an in-app notice. Your continued use of Pay Not To Do after changes are posted constitutes your acceptance of the updated Terms. The "Last updated" date at the top of these Terms indicates when they were last revised. 23. Severability If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect. 24. Entire Agreement These Terms, together with our Privacy Policy and Apple's EULA, constitute the entire agreement between you and Loud Unicorn LLC regarding your use of Pay Not To Do and supersede all prior agreements, representations, and understandings. 25.
